Terms of Use

Last updated: September 11, 2026

These Terms of Use ("Terms") are a legal agreement between you and Northway Automations LLC, a Delaware limited liability company ("Northway," "we," "us") covering your use of our website and the Northway OS platform (together, the "Service"). By accessing the Service, you agree to these Terms. If you do not agree, do not use the Service.

If you are agreeing on behalf of a company, you represent that you have authority to bind that company, and "you" means that company.

1. The Service is in testing

Northway OS is currently offered to a limited number of businesses as a pilot. The Service is provided on a pre-release basis. It may contain defects, may change substantially without notice, and may be interrupted, suspended, or discontinued. Do not rely on it as your sole system of record for anything you cannot afford to lose or reconstruct.

Where we have a separate written pilot agreement, order form, or master services agreement with you, that document controls to the extent it conflicts with these Terms.

2. Accounts

You must provide accurate information when you create an account, keep it current, and keep your credentials confidential. You are responsible for everything that happens under your account. Tell us promptly at legal@northwayautomations.com if you believe your account has been compromised.

Accounts are for a named individual. Do not share logins. Your organization's administrator controls who has access and at what role, and can revoke access at any time.

You must be at least 16 years old, and legally able to enter a contract, to use the Service.

3. How agents work, and what you are responsible for

Northway OS runs AI agents that analyze your business data, detect conditions, and draft proposed actions: messages to your customers, operational recommendations, and similar output.

Every action requires your approval before it is executed. The Service does not send messages, publish content, or otherwise act on your behalf unless a user in your organization with sufficient permission approves that specific action.

That design places responsibility where it belongs:

  • You are responsible for what you approve. Review each proposal before approving it. An approval is an instruction to act.
  • AI output can be wrong. Agent rationale, drafted copy, and analysis are generated in part by large language models. They can be inaccurate, incomplete, or unsuitable for your circumstances. Verify anything material before acting on it.
  • Nothing in the Service is professional advice. Output relating to finance, tax, legal, employment, or regulated matters is informational only. Consult a qualified professional.
  • You are responsible for compliance with communications law. You are the sender of messages you approve. You must have a lawful basis to contact each recipient and must comply with applicable law including CAN-SPAM, the TCPA, CASL, and the GDPR/ePrivacy rules where they apply. The Service tracks consent per channel and re-checks it at send time, but it cannot verify how you obtained that consent, and that remains yours to establish.

4. Acceptable use

You may not, and may not permit anyone else to:

  • Use the Service to send unsolicited bulk messages, or to contact people who have not consented or who have opted out.
  • Upload data you do not have the right to process, or use the Service in a way that breaches your obligations to your own customers.
  • Attempt to gain access to another organization's data, probe or circumvent access controls, or test the security of the Service without our prior written permission.
  • Reverse engineer, decompile, scrape, or attempt to extract the source code or underlying models of the Service, except where that restriction is unenforceable by law.
  • Resell, sublicense, or provide the Service to a third party as a service bureau.
  • Use the Service to generate content that is unlawful, defamatory, harassing, deceptive, or that infringes anyone's rights.
  • Interfere with the integrity or performance of the Service, or use it to build a competing product.
  • Circumvent, disable, or attempt to bypass the human approval step.

We may suspend access immediately, without notice, if we reasonably believe your use threatens the security, integrity, or lawful operation of the Service or another client's data.

5. Your data

You own your data. As between you and Northway, you retain all rights to the business data and customer records you upload or connect ("Client Data"). You grant us a limited, non-exclusive license to host, process, transmit, and display Client Data solely to provide the Service to you, to secure it, and to comply with the law.

We do not train foundation models on Client Data, and we do not permit our model providers to do so with data processed on your behalf.

You are the controller of Client Data; we are the processor. You are responsible for having a lawful basis for the customer data you bring into the Service, and for giving your own customers the notices your jurisdiction requires. Our handling of personal information is described in the Privacy Policy.

Aggregated, de-identified data. We may use statistics derived from use of the Service to operate and improve it, in a form that does not identify you, your business, or any individual.

Export and deletion. You may request an export or deletion of Client Data at any time by emailing privacy@northwayautomations.com.

6. Our intellectual property

The Service, including its software, design, documentation, and the Northway and Northway OS names and marks, is owned by Northway and protected by intellectual property law. We grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Service for your internal business purposes during your term.

Feedback. If you send us suggestions, we may use them without restriction and without owing you anything. We will not identify you as the source without your permission.

7. Third-party services

The Service connects to third-party platforms at your direction: email marketing tools, business profiles, social platforms, and similar. Those platforms are governed by their own terms and privacy policies, not ours. We are not responsible for their availability, their accuracy, their pricing, or their acts and omissions. If a third-party platform changes or removes an API, a related feature may stop working.

8. Fees

Pilot access may be provided at no charge or on terms set out in a separate written agreement. If we introduce fees for your account, we will give you notice and an opportunity to decline before they take effect. Fees, once introduced, are exclusive of taxes, which are your responsibility.

9. Term and termination

These Terms apply for as long as you use the Service.

You may stop using the Service and close your account at any time. We may terminate or suspend your access, with or without cause, on reasonable notice, or immediately where Section 4 applies or where the law requires it.

On termination, your right to use the Service ends. You may request an export of Client Data within 30 days of termination; after that we may delete it in accordance with our retention practices. Sections 5, 6, 10, 11, 12, and 13 survive.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or usage of trade.

We do not warrant that the Service will be uninterrupted, secure, or error-free; that defects will be corrected; that any analysis, projection, or generated content will be accurate or complete; or that the Service will produce any particular business result.

Some jurisdictions do not allow the exclusion of implied warranties, so parts of this section may not apply to you.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NORTHWAY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, or for lost profits, lost revenue, lost business, lost goodwill, or lost or corrupted data, arising out of or relating to the Service, whether in contract, tort, or any other theory, and whether or not we were advised of the possibility.

OUR TOTAL AGGREGATE LIABILITY arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

These limits apply even if a limited remedy fails of its essential purpose. Nothing in these Terms excludes liability that cannot lawfully be excluded, including for fraud, willful misconduct, or death or personal injury caused by negligence.

12. Indemnity

You will defend, indemnify, and hold harmless Northway and its officers, employees, and agents from any third-party claim, demand, loss, or expense (including reasonable legal fees) arising out of: your Client Data; your use of the Service; any message or content you approved for sending; your violation of these Terms; or your violation of any law or third-party right, including any communications, privacy, or marketing law.

13. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. You and Northway agree to the exclusive jurisdiction of the state and federal courts located in the State of Delaware, and each waives any objection to that venue.

Before filing anything, email legal@northwayautomations.com with a description of the dispute. We will try in good faith to resolve it informally within 30 days.

14. Changes to these Terms

We may update these Terms as the Service changes. We will revise the "Last updated" date, and for material changes we will give notice through the application or by email before the change takes effect. Continuing to use the Service after a change takes effect means you accept the revised Terms. If you do not accept them, stop using the Service.

15. General

These Terms, together with the Privacy Policy and any separate written agreement between us, are the entire agreement between you and Northway regarding the Service. If a provision is found unenforceable, it will be limited to the minimum extent necessary and the rest remains in force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events outside its reasonable control.
